Partner Portal Terms and Conditions

Please read these Partner Portal Terms and Conditions carefully before registering for or accessing the Partner Portal. By registering for an account, or accessing or using the Partner Portal, you, on behalf of your organization (hereinafter referred to as “Partner”), agree to be bound by these Portal Terms. If Partner does not agree, do not register for or access the Partner Portal.
These Partner Portal Terms (the “Terms”) govern access to and use of the RHONDOS, INC. (“RHONDOS”) Partner Portal (the “Portal”). By completing the registration process, accessing and/or using the Portal, Partner confirms that it has read, understood, and agree to be bound by these Terms. If Partner does not agree to these Terms, Partner or any party operating on its behalf, may not access or use the Portal. These Terms supplement, and are incorporated by reference into, any reseller, partner, or other written agreement currently in effect between the Parties (each, an “Agreement”). In the event of a conflict between these Terms and an Agreement, the Agreement will control unless otherwise indicated in the Agreement. Partner and RHONDOS may each hereafter be referred to as a “Party” or jointly as the “Parties”. Capitalized terms used but not defined herein have the meanings given to them in the applicable Agreement.
Partner’s use of the Portal is further subject to RHONDOS’s Privacy Policy, as may be updated by RHONDOS from time to time. By accessing the Portal, Partner represents that it has read, understood, and agrees to the Privacy Policy on behalf of itself and, where applicable, its authorized users.
1. Eligibility
The Portal is intended solely for use by authorized representatives of RHONDOS partners, customers, prospects, and internal RHONDOS personnel.
2. Account Registration and Security
Access is granted via the email associated with Partner’s organization’s record in RHONDOS’s systems. Partner is responsible for maintaining the confidentiality of any verification codes, sessions, or credentials issued to Partner and for all activities that occur under Partner’s account. Partner agrees to notify RHONDOS promptly of any unauthorized access.
3. Acceptable Use
Partner agrees to use the Portal solely for legitimate business purposes and not to:
- register deals, customers, or contacts that are fabricated, duplicated, or that Partner is not authorized to represent;
- upload or transmit malicious code, unlawful content, or content infringing the rights of any third party;
- attempt to gain unauthorized access to the Portal, related systems, or any other account;
- scrape, decompile, reverse-engineer, or otherwise extract data from the Portal except as expressly permitted; and/or
- use the Portal in violation of any applicable export-control, sanctions, anti-bribery, or data-protection law.
4. Deal Registration
All Partners must use this Portal to submit all deal registrations required under the Agreement. Specific terms relating to deal registration are referenced in the Agreement and supplemented by the Deal Registration Policy, as updated from time to time by RHONDOS in sole and absolute discretion.
5. Intellectual Property
The Portal, including its software, layout, branding, and content, is owned by RHONDOS or its licensors and is protected by intellectual property laws. RHONDOS grants Partner a limited, non-exclusive, non-transferable, revocable right to access the Portal solely for the purposes described in these Terms. No other rights are granted.
6. Confidentiality
Information made available through the Portal (including deal data, pricing, customer details, and roadmap information) is the Confidential Information of RHONDOS subject to the confidentiality protections set forth in the Agreement. Partner agrees to (a) treat such information with at least the same degree of care Partner applies to Partner’s own confidential information and no less than reasonable care; and (b) use it only as required to perform under the Agreement or to evaluate the Portal.
7. Suspension & Termination
RHONDOS may suspend or terminate Partner’s access to the Portal at any time, with or without notice, if RHONDOS reasonably believes that Partner has breached these Terms, the Agreement, Privacy Policy, or applicable law, or to protect the Portal or its users. Sections that by their nature should survive termination (including Intellectual Property, Confidentiality, Disclaimers, and Limitation of Liability) will survive. Partner’s access to the Portal will immediately terminate upon the termination or expiration of the Agreement.
8. Disclaimer of Warranties
THE PORTAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, RHONDOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL RHONDOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO PARTNER’S USE OF THE PORTAL. RHONDOS’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD $100). THIS SECTION 9 SHALL CONTROL OVER ANY CONFLICT IN THE AGREEMENT SOLELY AS IT APPLIES TO PARTNER’S ACCESS AND USE OF THE PORTAL.
10. Governing Law; Dispute Resolution
These Terms are subject to the governing law and dispute resolutions set forth in the Agreement. To the extent the Agreement is silent on the foregoing, these Terms are governed by the laws of the State of Washington, without regard to its conflict-of-laws principles and the Parties consent to the exclusive jurisdiction and venue of the competent courts in the State of Washington.
11. Changes to These Terms
RHONDOS may update these Terms from time to time. Material changes will be communicated through the Portal or by email. Partner’s continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.
